OVERVIEW
This website and online store are operated under the name Steppe & Co. by Rayya Materials Group Pte. Ltd., a company incorporated in Singapore with Unique Entity Number 202417076K and registered office at 2 Venture Drive, #19-21, Vision Exchange, Singapore 608526.
Throughout these Terms of Service, the terms “Steppe & Co.”, “we”, “us” and “our” refer to Rayya Materials Group Pte. Ltd.
We operate this website, including all related information, content, features, tools, products and services, to provide customers with an online shopping experience. These are collectively referred to as the “Services”.
Our store is hosted by Shopify, which provides the ecommerce platform that enables us to offer the Services to you.
These Terms of Service, together with the policies referred to in them, describe the terms on which you may access the Services and purchase products from us.
Please read these Terms carefully. By visiting, accessing or using the Services, or by placing an order with us, you agree to these Terms and acknowledge our Privacy Policy:

If you do not agree to these Terms or our Privacy Policy, you should not access or use the Services.
Nothing in these Terms excludes, restricts or overrides any consumer rights or remedies that cannot lawfully be excluded under the laws applying where you live.
These Terms primarily apply to purchases made through our online store. Separate terms may apply to wholesale, trade, distribution or other business arrangements. Where separate written terms have been agreed, those terms will take precedence to the extent of any conflict.
SECTION 1 — ELIGIBILITY, ACCESS AND ACCOUNTS
By using the Services, you confirm that you are at least the age of majority in your country, state or province of residence, or that you have the permission of your parent or legal guardian to use the Services.
You must provide accurate, current and complete information when using the Services, creating an account or placing an order. This may include your name, email address, billing information, payment information, telephone number and shipping address.
You confirm that you have the right to provide this information and that it does not infringe the rights of another person.
You are responsible for maintaining the confidentiality and security of your account credentials and for activity carried out through your account. You must notify us promptly if you believe your account has been accessed without permission.
You may not sell, transfer, assign or license your account to another person.
We may refuse access to the Services, close an account or require additional verification where we reasonably believe this is necessary to prevent fraud, misuse, unlawful activity or a breach of these Terms.
SECTION 2 — PRODUCTS AND NATURAL MATERIALS
We take reasonable care to describe and photograph our products accurately.
Jadeite and other natural materials may contain variations in colour, tone, translucency, pattern, texture, inclusions, veining and surface characteristics. These variations form part of the natural character of the material and mean that no two pieces are necessarily identical.
Natural characteristics that are accurately shown or described on the relevant product page will not ordinarily be considered defects. This does not affect your rights where a product is faulty, damaged, unsafe, materially different from its description or otherwise fails to meet applicable legal requirements.
Many of our jade pieces are unique or produced in limited quantities. The photographs shown for one-of-one products are intended to represent the actual individual item offered for sale unless the product page states otherwise.
Product colours may appear differently depending on your device, screen calibration, brightness settings and surrounding lighting. We cannot guarantee that a screen will reproduce every colour with complete accuracy, but this does not relieve us of our obligation to provide goods that materially correspond with their description.
Measurements, dimensions and weights are provided as accurately as reasonably possible. Minor tolerances may occur, particularly where products are handmade or made from natural materials.
Product descriptions, specifications and availability may be updated before an order is accepted. We will not make a material change to a product forming part of an accepted order without your agreement.
We may discontinue products, restrict quantities or limit availability by customer, country, region or jurisdiction where reasonably necessary.
All products are subject to availability. Placing an item in your basket does not reserve it.
SECTION 3 — ORDERS AND CONTRACT FORMATION
When you submit an order, you are making an offer to purchase the products in your order.
A binding contract between you and Steppe & Co. is formed when we send you an order confirmation email.
We may decline an order before sending an order confirmation where, for example:
(a) a product is unavailable;
(b) inventory information was incorrect;
(c) we cannot deliver to the address provided;
(d) payment cannot be authorised;
(e) we reasonably suspect fraud or unlawful activity;
(f) the order breaches a purchasing restriction;
(g) the price or product information contains an obvious error; or
(h) accepting the order would breach applicable law.
Where payment has already been taken for an order we do not accept, we will refund the amount paid using the original payment method.
Please review your order carefully before submitting it. You should contact us promptly if you wish to change or cancel an order. We cannot guarantee that changes can be made after the contract has been formed or an order has entered processing.
Any right we have to refuse, cancel or amend an order is subject to applicable consumer law and will not affect rights that cannot legally be excluded.
Unless otherwise agreed, products purchased through our consumer store are intended for personal or household use and not for unauthorised commercial resale or export.
Business, wholesale and distribution purchases may be subject to separate written terms.
SECTION 4 — PRICES, CURRENCIES, TAXES AND IMPORT CHARGES
The price payable is the price displayed for your selected country or market when you place your order, subject to any correction permitted under these Terms.
Prices displayed to customers in the United Kingdom include VAT where VAT is applicable and where the law requires it to be included.
For customers in other countries, displayed prices may include or exclude VAT, GST, sales tax, use tax or similar taxes depending on local law, the selected market and the configuration of our checkout.
Any tax that we calculate and collect as part of the transaction will be shown at or before checkout.
International orders may be subject to customs duties, import VAT, brokerage charges, handling fees or other charges imposed by the destination country. Unless the checkout or product page expressly states that these charges are included, they may be payable separately by the recipient.
You are responsible for checking any import restrictions or charges that may apply in your destination country. We are not responsible for charges imposed directly by customs authorities or other government bodies, except where applicable law makes us responsible for them.

Prices may be displayed in different currencies. Currency conversions may be calculated using exchange rates supplied by Shopify or another service provider. Your bank, card issuer or payment provider may apply a different exchange rate or charge a foreign transaction fee. We do not control these additional charges.
Prices, discounts and promotions may change before an order is accepted. Changes will not affect an order that has already been accepted unless you agree to the change or the displayed price contained an obvious error that you could reasonably have recognised as incorrect.
Where we identify an obvious pricing error before accepting an order, we may reject the order. Where we identify one after acceptance, we will contact you and, where permitted by law, offer you the option of paying the correct price or cancelling the order for a full refund.
Promotions may be subject to additional terms. Where promotion terms conflict with these Terms, the specific promotion terms will apply to that promotion.
SECTION 5 — PAYMENT AND BILLING
You agree to provide complete and accurate payment, billing and account information.
You confirm that you are authorised to use the payment method submitted and that the information supplied is correct.
Payment may be authorised or collected when you place your order. We must receive successful payment before we are required to dispatch products.
Payments may be processed by Shopify Payments or another third-party payment provider. Your use of a payment method may also be subject to the provider’s terms and privacy policy.
We may carry out payment verification, identity verification, fraud screening or other security checks before accepting or dispatching an order.
Where a payment is reversed, declined, disputed or found to be unauthorised, we may suspend fulfilment, cancel the affected order or recover amounts lawfully owed to us.
SECTION 6 — SHIPPING, DELIVERY, TITLE AND RISK

Delivery dates and timeframes are estimates unless we have expressly agreed a guaranteed delivery date.
We will take reasonable steps to dispatch and deliver orders within the timeframe stated at checkout or in our Delivery Policy. Delivery may be affected by customs processing, carrier delays, severe weather, disruption to transport networks or other circumstances outside our reasonable control.
Nothing in this section removes any right you may have to cancel an order, request a refund or pursue another remedy where delivery is materially delayed or does not take place within a period required by applicable law.
Risk of loss or damage remains with us until the products come into the physical possession of:
(a) you; or
(b) another person identified by you to receive them.
Where you independently arrange for a carrier that was not offered or selected by us, risk may pass when the products are delivered to that carrier, to the extent permitted by applicable law.
Legal title to the products passes to you only after we have received payment in full and the products have been delivered, unless applicable law provides otherwise.
You are responsible for providing a complete and accurate delivery address. We are not responsible for delays or failed delivery caused by inaccurate information supplied by you, although we will take reasonable steps to help resolve the issue.
Where a delivery cannot be completed because nobody is available, the carrier may leave instructions, attempt redelivery or hold the parcel for collection.
If an order is returned to us because of an incorrect address, refusal of delivery, failure to collect or unpaid import charges, we may deduct reasonable additional delivery or return costs from any refund where permitted by law.
Please inspect your order after delivery and contact us promptly if it is missing, damaged, faulty or incorrect.
SECTION 7 — RETURNS, CANCELLATIONS AND STATUTORY RIGHTS

Our Returns Policy is in addition to, and does not replace, rights that you may have under applicable consumer law.
UK CONSUMERS
If you are a consumer in the United Kingdom, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 generally provide a right to cancel most online purchases without giving a reason.
Unless an exception applies, you may notify us that you wish to cancel at any time after the contract is formed and up to 14 days after the day on which you, or a person nominated by you, receives the goods.
After notifying us of cancellation, you generally have a further 14 days to send the goods back.
Where required by law, we will refund:
(a) the price paid for the returned goods; and
(b) the cost of our least expensive standard outbound delivery option.
Any additional amount paid for premium or expedited delivery may not be refundable beyond the cost of standard delivery.
Unless the goods are faulty, damaged, incorrect or we have agreed otherwise, you may be responsible for the direct cost of returning them.
We may make a deduction from the refund where the value of the goods has been reduced because they were handled beyond what was reasonably necessary to establish their nature, characteristics and functioning.
We ask that products are returned with their original tags, presentation materials and packaging wherever reasonably possible. Removing a product tag, wearing an item or handling it beyond what would reasonably be permitted in a physical shop may reduce its value and may result in a lawful deduction from your refund.
The absence of a tag or original packaging will not remove any statutory right that cannot legally be excluded.
UK CONSUMER RIGHTS ACT 2015
For customers in the United Kingdom, the Consumer Rights Act 2015 requires goods to be:
(a) of satisfactory quality;
(b) fit for any purpose made known to us; and
(c) as described.
These rights cannot be excluded or restricted by these Terms.
Where goods do not comply with these requirements, you may have rights which include rejecting the goods, receiving a refund, requesting a repair or replacement, or receiving a price reduction, depending on the circumstances and the applicable legal timeframe.
EUROPEAN ECONOMIC AREA
Consumers in the European Economic Area may also have a legal right to withdraw from most online purchases within 14 days after delivery, together with legal rights concerning faulty or misdescribed goods.
The precise rights and exceptions may vary according to the law of the country in which you live.
OTHER COUNTRIES
Customers in other countries may have mandatory cancellation, refund, repair, replacement, warranty or consumer-guarantee rights under local law.
Nothing in these Terms or our Returns Policy excludes or limits those rights where they cannot legally be excluded.
FAULTY, DAMAGED OR INCORRECT PRODUCTS
If a product arrives faulty, damaged, unsafe, materially misdescribed or different from what you ordered, please contact us promptly with your order number and appropriate photographs or other supporting information.
Where the problem is our responsibility, we will provide an appropriate remedy in accordance with applicable law. This may include repair, replacement, refund or price reduction.
Where applicable law requires us to cover reasonable return costs for faulty or incorrect goods, we will do so.

SECTION 8 — INTELLECTUAL PROPERTY
The Services and their contents, including trademarks, trade names, logos, text, product descriptions, graphics, photographs, videos, audio, illustrations, designs, layouts and software, are owned by or licensed to Steppe & Co., Shopify or their respective rights holders.
They are protected by copyright, trademark, design, database and other intellectual property laws in Singapore and other applicable jurisdictions.
You may access and use the Services for personal, lawful and non-commercial purposes.
Except where permitted by law or with our prior written consent, you may not:
(a) copy, reproduce, republish or distribute material from the Services;
(b) modify or create derivative works from the Services;
(c) publicly display, perform or commercially exploit our content;
(d) remove copyright, trademark or proprietary notices;
(e) use our photographs or product descriptions to advertise or sell other products; or
(f) use Steppe & Co. names, branding, logos or designs in a manner that suggests endorsement, affiliation or authorisation.
No licence or ownership right is granted to you except for the limited right to use the Services in accordance with these Terms.
Shopify’s names, trademarks, logos, products and services remain the property of Shopify or its licensors. Other names and trademarks appearing through the Services belong to their respective owners.
SECTION 9 — ACCEPTABLE USE
You may use the Services only for lawful purposes.
You must not use or attempt to use the Services:
(a) for any unlawful, fraudulent or malicious purpose;
(b) to violate any applicable law, regulation or court order;
(c) to infringe intellectual property, privacy or other legal rights;
(d) to harass, threaten, abuse, defame, intimidate or harm another person;
(e) to submit false, misleading or deceptive information;
(f) to distribute spam, unsolicited promotions or chain messages;
(g) to impersonate another person or misrepresent your identity;
(h) to introduce malware, viruses or harmful code;
(i) to interfere with the security, availability or operation of the Services;
(j) to gain unauthorised access to any account, network, database or system;
(k) to collect or track personal information about another person without lawful authority;
(l) to circumvent purchasing restrictions, security controls, access restrictions, CAPTCHAs or robot-exclusion measures;
(m) to scrape, crawl, extract, reproduce or commercially reuse product data or website content without written permission; or
(n) to use bots, autonomous agents or automated purchasing tools in a way that disrupts the Services, conceals their automated nature or breaches these Terms.
We may use reasonable technical measures to prevent prohibited automated access or misuse.
We may suspend or restrict access where we reasonably believe these Terms have been breached.
SECTION 10 — REVIEWS, FEEDBACK AND USER CONTENT
If you submit a review, photograph, comment, suggestion, idea or other content to us or through the Services, you retain any ownership rights you have in that content.
You grant us a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to use, reproduce, adapt, publish, translate, distribute and display that content for the purposes of operating, improving and promoting Steppe & Co. and the Services.
This licence continues for as long as the content is used by us, subject to any rights you have under applicable privacy or consumer law.
You confirm that:
(a) you own the content or have permission to submit it;
(b) the content is accurate to the best of your knowledge;
(c) any incentive or compensation connected with it has been disclosed;
(d) it does not infringe another person’s rights;
(e) it is not unlawful, defamatory, abusive, obscene or deceptive; and
(f) it does not contain malware or harmful code.
We may moderate, refuse or remove content where we reasonably believe it breaches these Terms, the law or the rights of another person.
We are not required to keep submissions confidential, pay compensation for them or respond to them unless we have separately agreed otherwise.
SECTION 11 — THIRD-PARTY TOOLS AND LINKS
The Services may provide access to tools, applications, payment services, social-media features or websites operated by third parties.
We do not control every third-party service and are not responsible for its independent content, availability, security or practices.
Third-party services may be subject to separate terms and privacy policies. You should review those terms before using them or entering into a transaction.
Any limitation in this section applies only to the extent permitted by law and does not exclude liability arising from our own breach, negligence or legal responsibility.
SECTION 12 — RELATIONSHIP WITH SHOPIFY
Steppe & Co. is powered by Shopify, which enables us to provide the Services to you.
However, any sales and purchases you make in our store are made directly with Steppe & Co.
By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Steppe & Co., including any injury, damage or loss resulting from purchased products and services.
You hereby expressly release Shopify and its affiliates from claims, damages and liabilities arising from or related to your purchases and transactions with Steppe & Co., to the extent permitted by applicable law.
SECTION 13 — PRIVACY
Personal information collected through the Services is handled in accordance with our Privacy Policy:

SECTION 14 — ERRORS, INACCURACIES AND AVAILABILITY
The Services may occasionally contain typographical errors, inaccuracies or omissions relating to descriptions, measurements, prices, promotions, shipping charges, delivery times or product availability.
We may correct an error or update information at any time.
Where an error affects an order that has already been accepted, we will act reasonably, contact you where appropriate and comply with applicable law.
Nothing in this section gives us an unrestricted right to change the material terms of an accepted order without your agreement.
SECTION 15 — SUSPENSION AND TERMINATION
You may stop using the Services at any time.
We may suspend, restrict or terminate your access where reasonably necessary because:
(a) you have materially breached these Terms;
(b) you have used the Services unlawfully or fraudulently;
(c) your conduct presents a security or operational risk;
(d) payment remains lawfully due;
(e) we are required to do so by law; or
(f) we discontinue the relevant part of the Services.
Where reasonably possible, we will provide notice before terminating access, unless immediate action is needed for legal, fraud-prevention or security reasons.
Termination will not affect rights, obligations or liabilities that arose before termination.
Sections which by their nature should continue after termination will remain effective, including intellectual property, payment obligations, liability, governing law and dispute provisions.
SECTION 16 — DISCLAIMERS
We take reasonable care to keep the Services accurate and available, but we do not guarantee that the website will always be uninterrupted, secure, error-free or compatible with every device or browser.
General editorial or educational information about jade, natural materials, history, care or other subjects is provided for general information only. It should not be treated as professional, investment, medical, scientific or legal advice.
Nothing in these Terms excludes any description, guarantee, warranty, condition or legal obligation that cannot lawfully be excluded.
Products are not supplied “as is” where doing so would remove mandatory consumer rights.
Except for express commitments made by us and rights implied by applicable law, we do not provide additional warranties concerning the continuous operation of the website or third-party services.
SECTION 17 — LIMITATION OF LIABILITY
Nothing in these Terms excludes or limits liability for:
(a) death or personal injury caused by negligence;
(b) fraud or fraudulent misrepresentation;
(c) breach of legal obligations concerning ownership or title;
(d) defective products where liability cannot be excluded;
(e) your mandatory consumer rights; or
(f) any other liability that cannot legally be excluded or limited.
CONSUMERS
If you are a consumer, we are responsible for loss or damage that is a reasonably foreseeable result of our breach of these Terms or our failure to exercise reasonable care and skill.
Loss or damage is foreseeable where it was an obvious consequence of our breach or where both you and we knew, when the contract was formed, that it might occur.
We are not responsible for loss caused by information, instructions or actions for which you are responsible, or for loss that could not reasonably have been anticipated.
Products supplied through our consumer store are intended for private use. If you use them for commercial, resale or business purposes without a separate agreement, we will not be responsible for loss of profit, revenue, business, anticipated savings, goodwill or business opportunity, to the extent permitted by law.
BUSINESS CUSTOMERS
If you purchase wholly or mainly for business purposes, then, to the fullest extent permitted by law:
(a) we will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss;
(b) we will not be liable for loss of profit, revenue, business, contracts, anticipated savings, goodwill or data; and
(c) our total aggregate liability arising from the relevant order will not exceed the total amount paid or payable by you for that order.
The limitations in this section apply regardless of whether a claim arises in contract, tort, negligence, breach of statutory duty or otherwise, but only to the extent permitted by applicable law.
SECTION 18 — RESPONSIBILITY AND INDEMNIFICATION
You are responsible for losses directly caused by your unlawful use of the Services, your infringement of another person’s rights or your material breach of these Terms.
If you are acting as a consumer, nothing in this section requires you to indemnify us beyond responsibility that may lawfully be imposed under applicable law.
If you are acting for business purposes, you agree to indemnify Steppe & Co., its officers, employees and service providers against reasonable third-party claims, liabilities, damages and legal costs arising directly from:
(a) your unlawful use of the Services;
(b) content submitted by you that infringes third-party rights;
(c) your fraudulent or wilful misconduct; or
(d) your material breach of these Terms.
We will notify you of a relevant claim within a reasonable period and allow you a reasonable opportunity to participate in its defence.
We will not agree to a settlement imposing a non-monetary obligation on you without your consent, which will not be unreasonably withheld.
SECTION 19 — EVENTS OUTSIDE OUR CONTROL
We will not be responsible for delay or failure caused by an event outside our reasonable control, including severe weather, natural disaster, epidemic, war, civil disorder, industrial dispute, interruption to transport, customs action, governmental restriction, carrier disruption, power failure or major telecommunications failure.
We will take reasonable steps to minimise the effect of such an event and resume performance when reasonably possible.
This section does not remove any right you have to cancel, receive a refund or pursue another remedy where required by applicable consumer law.
SECTION 20 — SEVERABILITY
If any provision of these Terms is found to be unlawful, invalid or unenforceable, it will be treated as modified to the minimum extent necessary to make it enforceable.
If modification is not possible, the affected provision will be treated as severed.
The remaining provisions will continue in full force and effect.
SECTION 21 — WAIVER AND ENTIRE AGREEMENT
A failure or delay by us in exercising a right does not waive that right.
These Terms and the policies incorporated by reference form the agreement between you and us concerning your use of the Services and online purchases.
They supersede earlier communications concerning the same subject, but do not exclude statements or representations that cannot legally be excluded.
Nothing in these Terms limits liability for fraud or fraudulent misrepresentation.
SECTION 22 — ASSIGNMENT
You may not transfer your rights or obligations under these Terms without our written consent, except where applicable law gives you the right to do so.
We may transfer our rights or obligations to another organisation as part of a restructuring, sale, merger or transfer of our business.
We will not make a transfer that materially reduces your rights, and we will provide notice where required by law.
SECTION 23 — GOVERNING LAW AND DISPUTES
These Terms and any contract formed under them are governed by the laws of Singapore.
If you are a consumer, this choice of law does not deprive you of mandatory protections provided by the laws of the country in which you habitually live where those protections apply regardless of the chosen governing law.
Before commencing formal proceedings, we encourage you to contact us so that we can try to resolve the issue.
If you are a consumer, you may bring proceedings in the courts of Singapore or in another court that has jurisdiction under applicable consumer law, including the courts of the country in which you live where the law permits.
We will bring proceedings against a consumer only in a court permitted by applicable law.
If you are purchasing for business purposes, the courts of Singapore will have exclusive jurisdiction over disputes arising from these Terms or an order, unless we agree otherwise in writing.
SECTION 24 — CHANGES TO THESE TERMS
The current version of these Terms will be available on this page.
We may update these Terms to reflect changes to our Services, business practices, technology or legal obligations.
Changes will apply from the effective date shown in the updated Terms.
The terms applying to a purchase will ordinarily be the version in effect when the order was accepted.
We will provide notice of material changes where required by applicable law.
Continued use of the Services after updated Terms take effect constitutes acceptance of the updated Terms in relation to future use, but does not permit us to retrospectively change an accepted order without lawful grounds.
